Research Use Agreement

This Research Use Agreement (the "Agreement") is a binding contract between ScienceOne Labs, LLC ("ScienceOne Labs," "we," "us") and the purchaser ("Buyer," "you"). It governs every purchase of research materials through scienceonelabs.com. By placing an order you accept this Agreement in full. If you do not accept it, do not order.

1. Definitions

• Products. The chemical reference materials, peptides, and related laboratory supplies listed in the ScienceOne Labs catalog, in whatever form supplied.
• Research Use. In-vitro experimentation, analytical chemistry, assay development, method validation, and other laboratory study performed on non-living systems by a Qualified Researcher in a controlled laboratory setting.
• Qualified Researcher. An individual with the training, equipment, and facility access appropriate to handle laboratory chemicals safely, working within an institutional, commercial, or independent laboratory context.
• Prohibited Use. Any introduction of a Product into or onto a human or animal body by any route, any clinical or diagnostic application, any compounding for such application, and any incorporation into a food, drug, cosmetic, supplement, or medical device.

2. Buyer Certifications

By completing checkout, you certify that each of the following statements is true at the time of purchase and will remain true for as long as you possess any Product:

• You are at least 21 years of age.
• You are a Qualified Researcher, or you are purchasing on behalf of an organization that employs Qualified Researchers, and the Products will be handled only by such persons.
• The Products will be used exclusively for Research Use within an institutional or independent laboratory context.
• The Products will not be administered to, applied to, or consumed by any human or animal, and will not be used in any veterinary application.
• You will not resell, gift, or otherwise transfer any Product for human or animal consumption, and you will not relabel or repackage any Product in a manner that obscures its research-only status.
• You will handle, store, and dispose of the Products according to accepted laboratory practice, the accompanying documentation, and applicable safety data.
• Your purchase, possession, and use of the Products comply with all laws and regulations that apply in your jurisdiction, and you are solely responsible for confirming that compliance before ordering.

3. Acknowledgment of Risks

You acknowledge that the Products are experimental chemical materials whose properties are not fully characterized. They have not been evaluated by the FDA or any other regulatory body for safety, efficacy, or any intended effect, and they are not manufactured under conditions required for pharmaceutical products. Handling laboratory chemicals carries inherent risk. You accept full responsibility for risk assessment, containment, personal protective equipment, and safe handling procedures within your facility, and you agree that ScienceOne Labs bears no responsibility for outcomes arising from any use of the Products after delivery.

4. How This Agreement Is Recorded

Checkout on scienceonelabs.com cannot be completed without affirmative acceptance of this Agreement. When you accept, we record the acceptance together with a timestamp, the order number, and the account or email address used to place the order. This record is retained with the order and constitutes evidence of your certifications for that purchase. Each new order requires a new acceptance.

5. Violations and Consequences

Any breach of this Agreement, including any Prohibited Use or any misrepresentation in the certifications above, has the following consequences:

• Immediate termination of your right to purchase from ScienceOne Labs, including cancellation of pending orders and closure of your account.
• Voiding of any refund, replacement, or other accommodation that might otherwise apply to the affected orders.
• Your assumption of sole and complete responsibility for all consequences of the breach. You agree to indemnify and hold harmless ScienceOne Labs, its owners, and its personnel from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising from your breach or from any Prohibited Use of a Product after delivery.
• Referral to appropriate authorities where we believe a violation of law has occurred.

6. General Terms

This Agreement operates alongside our Terms of Service and Privacy Policy; where this Agreement and the Terms of Service conflict on the subject of research use, this Agreement controls. If any provision is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision in one instance is not a waiver of that provision. This Agreement is governed by the laws of the State of Nebraska, without regard to conflict of law principles.
